These Terms of Service are the terms of agreement between the User (“User”, “Content Creator”, “you”, or “your”) and Purple Lining for registering with, posting articles or events or cover art or accessing or using our Website (“Terms of Use”). For the sake of clarity, “User” herein refers to anyone visiting our platform, application or Website or anyone who accesses or uses our platform, application or Website, including anyone who registers with us in terms of these Terms of Service.

You must read, agree with and accept these Terms of Use as it explains the terms and conditions guiding your usage of our Services. By accessing or engaging with our Website, you agree to be bound by these Terms of Use, and you agree that these “Terms of Use” include every agreement linked herein, including the Privacy Policy. If you disagree with anything provided or referenced herein, please do not use or access our Website.

We have the right to change the provisions contained in these Terms of Use as and when considered necessary by us, without any notice to you. If we make any such revision in the Terms of Use, we will update the effective date above and the revised Terms of Use shall be effective from such date. You must frequently check these Terms of Use and its effective date to understand the conditions that apply to your use of our Website. Your continued use of the Website following such modification constitutes your acceptance of the modified Terms of Use. If you disagree with any of these terms, you are prohibited from using or accessing this site. 

 

1. Your use of our Website

1. Purple Lining is a platform for the younger generation to connect with each other, discuss various subjects of interests, share events, write posts, design and post cover arts. 

2. We operate as a platform which connects you to like minded young individuals from various regions and backgrounds, irrespective of the ethical, customary and racial differences, and connect on subjects, ideas, beliefs, helping you to grow in making decisions, educational learning and sharing nation or local developmental ideas. 

3. Once a post, article, writing, the event description / invite / or cover art (the “Content”) has been submitted, it will be kept in a “pending” status until it is evaluated to ensure that there is no misinformation or inappropriate content of any sort. We may, in our absolute discretion, determine what content can be considered inappropriate, and you agree that we may not permit any content which we consider inappropriate to be published on the Website. We may offer some advice to steer you in the right direction. We will send you a follow up with ways that your work may need to be altered. However, you are in control of whatever you want to post; if you are okay with the advice given, you may be able to repost it to the blog.

4. Even if we find the Content appropriate to publish, you continue to be solely responsible for the Content that you have created, and any publication shall be considered to be made at your discretion.

5. All Content will be published under your account or under your name. Before submitting any Content, you must grasp the consequences of your words and actions. The responsibility for what you put out there lies with yourself, not with the platform. 

6. When registering with Purple Lining as a User, you must provide the required information. As a registered member you will have the ability to host and populate events from a local blood donation drive to a national fundraiser.

7. You shall be responsible for obtaining the computer/mobile equipment and other devices necessary to access and use the Website. You shall be responsible for all charges associated with accessing and maintaining a connection to the site including, but not limited to, charges imposed by an internet service provider.

8. To use our Website, you need to create an account with us, by filing the Artist Form or signing up as a Content Creator. You cannot use our Website without such prior registration.

9. When you use the Website, we assume that you are above 15 years of age, and are able to understand the consequences of your actions. We reserve the right to terminate your account and / or deny access to our Website if it is brought to our notice or if it is discovered that you do not meet this condition.

10. Our role under these Terms is limited to managing the platform, evaluating the and approving the Content through the application and Website, including any providing you an opportunity to connect with other Content Creators, acting as a platform for your interactive growth by forming groups, hosting events in your city or locality and other consequential activities. 

11. We may also act to introduce members to other members, connecting them, for the sole intention of informational exchange, educational interaction, promotion of events and personality development. The members shall send an email to thepurpleliningcom@gmail.com seeking such facilitation and we shall try to connect you to such members as requested by you, pursuant to the approval to such connection by such members.

12. You will be responsible for maintaining confidentiality of your account, password, and keep its access restricted, and you hereby accept responsibility for all activities that occur under your account. If you know or have reasons to believe that the security of your account has been breached, you should contact us immediately at the contact details provided on our Website. If we have found a breach or suspected breach of the security of your account, we may require you to change your password, temporarily or permanently block or suspend your account without any liability to us.

13. If you are creating an account on the Website on behalf of your school, college or other institution (the “Institution”), you must be authorized to create an account by the relevant Institution. We do not bear any liability to ensure that you are properly authorized to create an account on behalf of such Institution and neither are we responsible to secure such authority from the relevant Institution. Further, if any Institution reaches out to us to inform that you were not authorized to create an account or post on their behalf, we shall delete your account as well as the relevant posts associated with it.

2. User Representation

By using the Website, you represent that:

1. Your use of our Website shall not breach any national or international laws and shall not infringe the intellectual property rights of any third party.

2. You will not copy, or make use of any part of the Website for any purpose whatsoever unless expressly permitted to do so in these terms.

3. You agree that Purple Lining is a platform with the sole purpose to educate, inform, and inspire, and therefore, You will follow the instructions and keep the educational and artistic environment safe and enjoyable for all, failing which you would risk being removed from the site, and your account permanently deleted.

4. You will not knowingly or unknowingly use the Website in a way that is hateful or blatantly disrespectful. We allow criticisms and suggestions of improvement, but will not tolerate any hateful language, including, curse words, attacks towards someone’s appearance or cognitive abilities, disregard to someone’s race, ethnicity, sex, gender, heritage, culture, or anything else that could be deemed purely as hateful and not productive. 

5. You agree that you shall not use Content created by other Content Creators without accurately attributing it as theirs, and most importantly, you will, at all times follow the copyright guidelines.

6. Purple Lining, at its sole discretion, reserves the right to disable, suspend or terminate your account if you fail to comply with any of the provisions of these Terms of Use. 

7. You agree that you are sharing your contact information on your profile for public viewing of your own will, and that you are aware that such information including your email etc. shall be displayed for other members to see and contact you if you so chose to show it.

3. Prohibited Activities

The following activities are prohibited during the use of our Website:

1. Usage and/or mention of any part of the Website for an advertisement or marketing purposes.

2. Improper usage of our Website which opens Purple Lining up to unwanted liabilities.

3. Usage of the Website to solicit unwarranted association, and causing harassment to other Content Creators on the platform, or to promote sentiments among the artists or Content Creators against Purple Lining.

4. Reverse engineering any part of the Website.

4. Provision of Badges

1. The Platform provides for earning various badges to signify your contribution in terms of the Content, and are a way to help you distinguish yourself from others.

2. There are 5 badges available to members only, including, bronze (3 posts), silver (5 posts), gold (10 posts), diamond (20 posts), and purple lining ambassador (selected by Purple Lining on the basis of internal selection criteria).

3. The member profile shall be upgraded with badges as and when they achieve the post milestones, while the Purple Lining ambassador shall be selected pursuant to the efforts made in growing the platform, showing a consistent interaction and passion. 

4. The Purple Lining ambassador shall be entrusted with the responsibility to promote the Website by finding new members, participating in local events, and coordinating with other purple lining ambassadors, giving them an opportunity to develop the skills for public advocacy, lobbying, or canvassing.

5. Website Availability 

1. ThWhile we endeavor to make the Website available 24X7, we do not represent that its access will be uninterrupted, timely, error free, free of viruses or other harmful components or that such defects will be corrected.

2. We do not warrant that the Website or the Services available on our Website will be compatible with all hardware and software which may be used by you to use our Website.

3. The Website may undergo constant upgrades, as a result of which some functions and features may not be fully operational. We provide the Website on an 'as is' and 'as available' basis and expressly disclaim all warranties of any kind, whether express or implied, with respect to the Services and other products or materials, data made available by it to you.

4. We reserve the right to make changes to any part of the Website including but not limited to appearance, function, likeness, offerings, layout at our discretion. However, we have no obligation to update any information on our Website. We also reserve the right to modify or discontinue all or part of the features of the Website without notice at any time.

6. User Content

1. We have an internal team to evaluate and approve/deny any posting of articles, arts or events, but such evaluation shall only be limited to vetting out inappropriate Content. If we enable Content to be published on our Website, that does not become our Content and also does not mean that we approve of, or agree with whatever is included in the Content. We shall not be held responsible for any plagiarism, copyright infringement, intellectual property right violations or otherwise. Even after the publication, Purple Lining reserves the right to delete or move any content that it may receive complaints for, and which is considered to be violative of the Terms of Use. You shall remain solely responsible for all Content posted by you or by any other person using your account. We shall have the right, but not the obligation, to correct any errors or omissions in any Content provided by you.

2. You acknowledge and agree that when you post any Content on the Website, Purple Lining shall have the rights to use such Content for the purposes of marketing or advertisement or creating brochures or such other purposes, in order to encourage the use of the Website. For this purpose, you hereby agree to grant to Purple Lining an irrevocable, non-exclusive license to use the Content for such purposes. However, Purple Lining shall never sell the Content to any third party.

3. You warrant that you shall not post or otherwise publish on the Website any materials that (a) are threatening, libelous, defamatory, or obscene; (b) would constitute, or that encourage conduct that would constitute, a criminal offense, give rise to civil liability, or otherwise violate law; (c) infringe the intellectual property, privacy, or other rights of any third parties; (d) contain a computer virus or other destructive element; (e) contain advertising; (f) constitute or contain false or misleading statements; or (g) violate these Terms of Use.

7. Intellectual Property 

1. The intellectual property contained in the Website is owned by or licensed to Purple Lining and is protected by applicable copyright laws.

2. Nothing contained in this site shall be construed as conferring by implication, estoppel, or otherwise, any license or transfer of right to any copyright, patent, trademark or other proprietary interest belonging to Purple Lining. The content provided in this site, including, but not limited to, graphic images, audio, video, html code, buttons, and text, may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, without the prior written consent of Purple Lining.

8. User License 

1. Purple Lining grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make use of the Website or any materials on the Website only to the extent provided by these Terms of Use. All rights not expressly granted to you in these Terms of Use are reserved and retained by us. 

2. This license shall automatically terminate if you violate any of the restrictions, or pursuant to the posting of improper content and may be terminated by Purple Lining at any time.

9. Disclaimers​

1. The materials on the Website are provided on an ‘as is’ basis. Purple Lining makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

2. Further, Purple Lining does not warrant or make any representations concerning the authenticity, source, or creativity of the art forms, cover art, articles, blogs, or any Content posted by the members on the Website or otherwise relating to such materials or on any sites linked to the Website.

3. The Services available on the Website are provided with the express understanding that you shall remain solely responsible for your use of the Website. Neither Purple Lining nor its third-party content providers shall be liable for any indirect, incidental, consequential, or punitive damages or losses or for lost revenues or profits, whether or not advised of the possibility of such damages or losses.

4. You shall ensure that you have carefully read and agreed to the terms of any events, public fundraising or otherwise, and any participation, contribution, made as such shall be your sole responsibility. We are merely a platform for promoting such events and activities, and shall not be liable for any losses pertaining to the same.

10. Indemnification 

• You hereby indemnify, defend, and hold harmless Purple Lining and all of its successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, and representatives and their respective heirs, successors and assigns (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by any or all the Indemnified Parties in connection with any claim arising out of or relating to: (i) your access to or use of the Website and violation of any third party’s rights including that of copyright infringement or violation of intellectual property rights to the content or (ii) any breach by you of these Terms of Use or the representations, warranties, and covenants you have made by agreeing to these Terms of Use. You shall cooperate as fully as reasonably required in the defense of any such claim. Purple Lining reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

• We may provide links to third-party websites, and some of the content appearing to be on the Website may in-fact be supplied by third parties. We do not endorse and have no responsibility for the availability or content of these third-party websites, which are governed by the terms of use and privacy policies, if any, of the applicable third-party content providers. We shall have no liability or responsibility, directly or indirectly, for any damage or loss caused or alleged to be caused by the use or reliance on any content, goods or services available on or through such websites.

• Your privacy is very important to us and any data received by us shall be handled in accordance with our Privacy Policy which is available at: Privacy Policy.

 13. Governing Law

1. These Terms of Service shall be construed in accordance with the applicable laws of the State of Arizona, United States without regard to the conflict of law principles.

2. If any dispute or claim arises from or in connection with (i) these Terms of Use, (ii) any booking made on the Website, or (iii) your access to or use of our Website (“Dispute”), the relevant parties shall resolve the Dispute through the procedure stated in Clause 13.3 below.

3. In the first instance any Dispute that you have with regards to the use of the Website will be referred to the senior management of Purple Lining. If such Dispute is not resolved within a period of 30 (thirty) days from the date on which it was referred to the senior management or such extended period as the senior management may agree with you, you agree to submit to the exclusive jurisdiction of the competent courts at Arizona for the resolution of the Dispute.

  14. Assignment 

• These terms and all rights and obligations of you as the User hereunder are personal to you and may not be transferred or assigned by you to any third party at any time. We may assign our rights under these Terms of Use to any entity that assumes our obligations hereunder in connection with any sale or transfer of all or a substantial portion of our assets to such entity.

 15. Force Majeure​​​

• We shall not be in breach of these terms nor liable for delay in performing, or failure to perform, any of our obligations under these terms to the extent such delay or failure results from acts of God, fire, war, terrorism, severe illness, terrorist acts, cyber event, accidents, acts of government, sanctions, pandemics, electricity or internet disruptions, economic recession, political destabilization, circumstance or cause whatsoever beyond our reasonable control (a “Force Majeure Event”). In case of any scheduled maintenance and downtime of the Website, we will inform the Users reasonably in advance by a notification on the Website itself and shall ensure that such scheduled maintenance is completed as soon as possible.

16. Severability

• Any part, provision, representation or warranty of these Terms of Use which is prohibited or which is held to be void or unenforceable shall be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof. Any part, provision, representation or warranty of these Terms which is prohibited or unenforceable or is held to be void or unenforceable in any jurisdiction shall be ineffective, as to such jurisdiction, to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

17. No Waiver

• Our failure to require your performance of any provision hereof shall not affect our full right to require such performance at any time thereafter, nor shall our waiver of a breach of any provision hereof be taken or held to be a waiver of the provision itself. ​

• These Terms sets forth the entire understanding between you and Purple Lining and supersedes all prior versions of the Terms and any prior understanding or agreement. In addition, you may also be subject to additional terms and conditions when you use or access any specific services like cover art, or Purple Lining Brand Ambassadorship.
